Welcome to MatrixFlow. These Terms of Service ("Terms") govern your use of our website and SaaS analytics platform ("Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, please do not use the Service.
1. Eligibility
You must be at least 18 years old and able to form a legally binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements.
2. Your Account
- You must provide accurate and complete information when registering
- You are responsible for maintaining the security of your account credentials
- You are responsible for all activities that occur under your account
- You must notify us immediately of any unauthorized use of your account
- One person or entity may not register multiple accounts without our written consent
3. Description of Service
MatrixFlow provides analytics dashboards and insights based on data retrieved from your authorized TikTok creator account. Specifically, the Service includes:
- Video performance metrics (views, likes, comments, shares) over time
- Account statistics (follower growth, engagement trends)
- Content strategy recommendations generated from your historical data
- Multi-account aggregation (where applicable) for sellers managing multiple TikTok accounts
4. TikTok Integration
Our Service integrates with TikTok via TikTok for Developers API. By connecting your TikTok account, you agree that:
- You are the legitimate owner or authorized manager of the connected TikTok account
- You have the legal right to authorize third-party access to your TikTok data
- You will comply with TikTok's Terms of Service, Privacy Policy, and Developer Policies
- You understand we only access the data you explicitly authorize via TikTok's OAuth flow
- We are not responsible for actions TikTok takes regarding your account (suspension, content removal, rate limiting)
- If TikTok revokes our API access for any reason, we may be unable to retrieve your data until access is restored
5. Acceptable Use
You agree not to:
- Use the Service for any illegal purpose or in violation of any local, state, national, or international law
- Connect TikTok accounts that you do not own or have explicit authorization to manage
- Attempt to access, view, or modify data belonging to other MatrixFlow users
- Reverse engineer, decompile, or disassemble any part of the Service
- Use the Service to develop a competing analytics or social media management product
- Use automated systems (bots, scrapers, crawlers) to access the Service beyond the API interfaces we explicitly provide
- Resell, sublicense, or redistribute access to the Service without our prior written consent
- Interfere with or disrupt the Service, its servers, or the networks and services connected to the Service
6. Prohibited Use Cases
MatrixFlow is designed for legitimate analytics purposes only. We strictly prohibit using the Service to:
- Generate fake engagement (likes, comments, followers, views) on TikTok or any other platform
- Post automated, repetitive, or spam content to TikTok accounts
- Circumvent TikTok's safety, moderation, rate-limiting, or anti-abuse systems
- Engage in "astroturfing", coordinated inauthentic behavior, or manipulative promotion
- Scrape, collect, or aggregate data about TikTok users other than your own authorized account
- Build or operate "follow-for-follow", "like-for-like", or engagement exchange networks
Violation of these prohibitions will result in immediate account termination without refund, and may be reported to TikTok and relevant authorities.
7. Intellectual Property
- The Service, including its design, source code, documentation, and visual elements, is owned by MatrixFlow and protected by international intellectual property laws
- You retain all rights to your TikTok content and the data you authorize us to access — we receive only a limited, revocable license to process your data solely to provide the Service
- We retain all rights to aggregated, anonymized insights derived from your data (e.g., industry benchmarks), which do not identify you personally
- You may not use our trademarks, logos, or brand elements without prior written consent
8. Data Processing
Our data collection, use, storage, and sharing practices are described in our Privacy Policy, which is incorporated into these Terms by reference.
9. Fees and Payment
- Some features of the Service may require a paid subscription, with pricing clearly communicated before any charge
- All fees are stated in USD (or your local currency equivalent) and are non-refundable except as required by law
- We may change our fees with at least 30 days' prior notice; existing subscribers will be charged the new rate only at the next renewal
- Failure to pay may result in account suspension or termination
10. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted service. The Service may be temporarily unavailable due to:
- Scheduled maintenance (we will notify you in advance when possible)
- TikTok API outages, rate limits, or policy changes beyond our control
- Internet, hosting, or infrastructure failures
- Force majeure events (natural disasters, cyberattacks, government actions)
11. Termination
- You may close your account at any time via the Service settings; upon closure, your data will be deleted within 30 days as described in our Privacy Policy
- We may suspend or terminate your account immediately if you violate these Terms, especially the prohibited use cases in Section 6
- We may terminate your account for any reason with 30 days' prior notice
- Upon termination, all licenses granted to you under these Terms immediately cease
- Provisions that by their nature should survive termination (intellectual property, limitation of liability, indemnification) will remain in effect
12. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Specifically, we do not guarantee that:
- The Service will be uninterrupted, secure, or completely error-free
- TikTok data will be accurate, complete, or up-to-date (data accuracy depends on TikTok's API)
- Strategy recommendations will produce specific business outcomes or revenue
- Errors or bugs will be corrected within any specific timeframe
13. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall MatrixFlow, its officers, directors, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or related to your use of (or inability to use) the Service.
Our total aggregate liability for any claim arising from these Terms or your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or USD $100, whichever is greater.
14. Indemnification
You agree to indemnify, defend, and hold harmless MatrixFlow and its affiliates from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from:
- Your misuse of the Service
- Your violation of these Terms
- Your violation of any third-party rights, including TikTok's Terms of Service
- Your connection of TikTok accounts you do not have rights to manage
15. Changes to These Terms
We may update these Terms from time to time. We will:
- Notify you of material changes via email or in-app notification at least 30 days before they take effect
- Update the "Last updated" date at the top of this page
- Maintain previous versions of these Terms available upon request
Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
16. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region (HKSAR), without regard to its conflict of law provisions. Any dispute arising from these Terms shall be resolved:
- First, by good-faith negotiation between the parties for 30 days
- If unresolved, by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under its rules
- The seat of arbitration shall be Hong Kong; the language shall be English
17. Severability
If any provision of these Terms is found to be unenforceable or invalid by a court or arbitrator, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
18. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and MatrixFlow regarding the Service, and supersede all prior or contemporaneous understandings, communications, or agreements (written or oral) on the subject.
